1. Agreement to Terms

By accessing or using Compr ("Service"), operated by TaskLifter LLC ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Compr is a cross-listing tool that helps users list and manage inventory across multiple e-commerce marketplaces including eBay, Etsy, Poshmark, Mercari, and Depop. The Service includes listing creation, synchronization, automatic delisting when items sell, and profit calculation features.

Auto-Delisting Disclaimer: Automatic delisting and inventory synchronization features are provided on a best-effort basis and are not guaranteed. Due to marketplace API limitations, delays, or technical issues, automatic delisting may fail, be delayed, or not occur. You are solely responsible for verifying your inventory accuracy across all platforms and manually managing listings when necessary. We are not liable for oversold items, missed sales, or any losses resulting from auto-delisting failures.

Profit Calculator Disclaimer: Profit calculations, fee estimates, and earnings projections are estimates only and do not constitute financial, accounting, or tax advice. Actual fees, taxes, and profits may vary. You are responsible for your own financial decisions and tax obligations.

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. By using Compr, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

4. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

5. Subscription and Payments

Compr offers both free and paid subscription tiers. For paid subscriptions:

  • Subscriptions are billed on a recurring monthly basis
  • You authorize us to charge your payment method automatically
  • Prices may change with 30 days notice
  • You may cancel at any time; see our Refund Policy for details

6. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any applicable laws or regulations
  • Violate the terms of service of any connected marketplace (eBay, Poshmark, Mercari, Etsy, Depop)
  • List prohibited, illegal, or counterfeit items
  • Engage in fraudulent activity or misrepresent items
  • Share your account credentials with others
  • Attempt to circumvent any usage limits or security measures
  • Reverse engineer, scrape, or extract data from the Service beyond normal use
  • Interfere with or disrupt the Service or servers

Violation of this policy may result in immediate account suspension or termination.

7. Third-Party Marketplace Disclaimer

Important: Compr is an independent service and is NOT affiliated with, endorsed by, or sponsored by eBay, Etsy, Poshmark, Mercari, Depop, or any other marketplace platform.

You acknowledge and agree that:

  • You are solely responsible for complying with each marketplace's terms of service
  • Marketplace APIs and features may change without notice, affecting Service functionality
  • We are not responsible for any account suspensions, listing removals, or penalties imposed by marketplaces
  • Your use of marketplace accounts is governed by your agreements with those platforms
  • We cannot guarantee uninterrupted access to marketplace integrations

8. User Content and Data

You retain ownership of all content you create through the Service (listings, descriptions, images). By using the Service, you grant us a limited license to:

  • Store and process your content to provide the Service
  • Transmit your content to connected marketplaces as directed by you
  • Create backups for service reliability

9. Account Termination

We may suspend or terminate your account if you:

  • Violate these Terms of Service
  • Violate our Acceptable Use Policy
  • Engage in activity that harms other users or the Service
  • Fail to pay subscription fees when due
  • Initiate a chargeback or payment dispute without first contacting us

Chargebacks: Filing a chargeback with your bank or credit card company may result in immediate account suspension. We encourage you to contact us at support@compr.co before initiating a dispute so we can resolve your concerns directly.

You may terminate your account at any time through your account settings. Upon termination, your personal data will be deleted or anonymized within a reasonable period, subject to our legal obligations, backup retention schedules, and any ongoing disputes or compliance requirements. 10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TASKLIFTER LLC SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Marketplace account suspensions or listing removals
  • Service interruptions or data loss
  • Actions of third-party marketplaces or services

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Indemnification

You agree to indemnify and hold harmless TaskLifter LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

14. Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. This includes changes to features, pricing tiers, usage limits, and marketplace integrations. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service or any feature thereof.

15. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to events beyond our reasonable control, including but not limited to: natural disasters, acts of government, internet or telecommunications failures, third-party service outages (including marketplace APIs, hosting providers, or payment processors), cyberattacks, pandemics, or other force majeure events.

16. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in the State of Wisconsin, or another mutually agreed location. The arbitrator's decision shall be final and binding.

Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against TaskLifter LLC.

Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to support@compr.co within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.

Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction for claims involving intellectual property or unauthorized access to the Service. Claims eligible for small claims court may also be brought there.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, United States, without regard to its conflict of law provisions. Subject to the arbitration provisions above, any disputes not subject to arbitration shall be resolved in the state or federal courts located in Wisconsin.
